1. Important Notice

1.1 By applying for or using any service provided by Vexor, you confirm that all information supplied is accurate, complete, and up to date. You authorize Vexor to collect, process, and store your personal information for the purpose of providing services and complying with applicable laws.

1.2 Vexor reserves the right to amend these Terms and Conditions at any time. It is the client’s responsibility to review these terms periodically. Continued use of Vexor’s services constitutes acceptance of any amendments.

1.3 Failure to pay any outstanding amount due on your Vexor account may result in the suspension or termination of services without prior notice.

1.4 Acceptance of these Terms and Conditions for one service does not automatically apply to any other service offered by Vexor unless expressly stated.

1.5 To the fullest extent permitted by law, the client agrees to indemnify and hold harmless Vexor, its directors, employees, contractors, suppliers, and affiliates from any claims, losses, damages, liabilities, or expenses arising from the client’s use of the services.

2. Definitions

Vexor refers to Digital Orbit (Pty) Ltd, trading as Vexor, or any entity to which Digital Orbit (Pty) Ltd may assign, cede, delegate, or transfer its rights and obligations.

Client refers to any individual, company, organization, or entity that applies for or uses services provided by Vexor.

Domain refers to an internet domain name registered through an accredited registrar, including associated DNS records and configurations.

Supplier refers to any third-party provider of goods, services, infrastructure, software, or facilities utilized by Vexor in the provision of services.

3. Client Obligations

3.1 The client warrants that all information provided to Vexor is accurate and complete. Vexor reserves the right to request additional information or verification at any time.

3.2 Vexor may require identity verification before or during the provision of services. Failure to provide requested verification may result in suspension or termination of services.

3.3 The client agrees to comply with Vexor’s Acceptable Use Policy and all applicable laws and regulations.

3.4 Vexor reserves the right to suspend, restrict, or terminate any service used in a manner that is unlawful, abusive, harmful to other users, or contrary to these terms.

3.5 Vexor may remove, disable, or restrict access to any content deemed illegal, offensive, harmful, or otherwise in violation of applicable laws or policies.

3.6 Clients are responsible for responding appropriately to any Denial of Service (DoS) or Distributed Denial of Service (DDoS) attacks affecting their services. Where such attacks negatively impact other users or network infrastructure, Vexor may suspend the affected service without liability.

4. Availability of Services

4.1 Submission of an application does not guarantee acceptance or immediate availability of services.

4.2 Vexor does not guarantee uninterrupted or error-free service and shall not be liable for downtime caused by events beyond its reasonable control.

4.3 Vexor shall not be liable for downtime, service interruptions, or data loss resulting from client actions, misconfiguration, deletion, corruption of files, or third-party software issues.

4.4 Vexor reserves the right to discontinue, modify, or terminate any service offering at its sole discretion.

5. Payment for Services

5.1 Vexor shall not be liable for delays in service activation resulting from unapproved, failed, or delayed payment methods.

5.2 Suspension or termination of services due to non-payment remains the sole responsibility of the client.

5.3 Vexor currently accepts payments through PayFast and any other payment methods specifically listed on its website.

5.4 Payment information processed through PayFast is handled in accordance with PayFast’s security standards. Recurring billing may be enabled where applicable unless cancelled by the client.

6. Term and Termination

6.1 All services are provided on a month-to-month basis unless otherwise stated in writing.

6.2 Clients may cancel services through the Vexor Client Area or by submitting a written request to support@vexor.co.za.

6.3 It is the client’s responsibility to ensure that cancellation requests are submitted correctly. Failure to follow the prescribed cancellation process will not entitle the client to a refund.

6.4 Invoices remain payable from the date of issue. Any invoice remaining unpaid for more than ninety (90) days may result in the automatic termination of all associated services and the removal of data.

7. Client Information and Privacy

7.1 The primary account holder registered with Vexor shall be regarded as the sole authorized representative of the account unless otherwise agreed in writing.

7.2 Vexor processes personal information in accordance with the Protection of Personal Information Act, 2013 (POPIA), and any applicable privacy legislation.

7.3 Vexor will take reasonable measures to protect client information but cannot guarantee absolute security.

8. Security

8.1 Vexor implements industry-standard security measures to protect its infrastructure and services.

8.2 Vexor does not warrant that its systems will be free from unauthorized access, cyberattacks, malware, or other security incidents.

8.3 Clients are responsible for ensuring that no malicious software, scripts, or harmful code are uploaded to or executed on Vexor’s infrastructure.

8.4 While disaster recovery procedures may be maintained, Vexor does not guarantee complete restoration of data, services, or systems following an incident.

8.5 The client authorizes Vexor to investigate, access, and review account data where necessary to identify, contain, or remediate security incidents.

9. Domain Registration and Management

9.1 Domain registrations are facilitated through accredited registrars and registry operators.

9.2 Clients are bound by the terms, policies, and regulations applicable to the relevant domain namespace.

9.3 Vexor shall not be liable for delays, failures, or errors in domain registration, renewal, transfer, or modification caused by registrars, registries, or third parties.

9.4 Clients are responsible for ensuring that domain renewal and auto-renewal settings are configured according to their requirements.

9.5 Vexor will not provide refunds for incorrectly registered domains, spelling errors, or unwanted domain renewals.

10. Domain Transfers

10.1 Clients requesting a domain transfer must possess all required authorization and legal rights to transfer the domain.

10.2 Vexor shall not be held liable for disputes relating to domain ownership, trademarks, intellectual property rights, or transfer authorization.

10.3 The client agrees to indemnify Vexor against any claims arising from domain transfer requests.

11. Hosting Services

11.1 Vexor reserves the right to refuse the hosting of any website, application, content, or domain name at its sole discretion.

11.2 Clients must ensure that all hosted content complies with applicable laws and Vexor’s Acceptable Use Policy.

11.3 Vexor reserves the right to impose additional charges, suspend services, or limit resources where excessive bandwidth, storage, CPU, memory, or other system resources are consumed.

11.4 Vexor may migrate websites, email services, or hosting environments between servers, data centres, or infrastructure providers where necessary for operational purposes.

11.5 Unless specifically contracted, Vexor does not provide support for third-party software, applications, plugins, themes, or content management systems, including but not limited to WordPress, Joomla, OpenCart, and Magento.

11.6 Storage provided as part of hosting services is intended strictly for website hosting files, databases, and email-related data. Hosting accounts may not be used as a general-purpose file storage, backup, archive, media repository, cloud storage, or file-sharing service.

11.7 Where Vexor determines that a hosting account is being used primarily for file storage, backups, media archiving, or any purpose unrelated to the operation of a website or email service, Vexor reserves the right to suspend the account immediately and require the removal of such data before services are restored.

12. Backups

12.1 Clients are solely responsible for maintaining current and independent backups of all data stored on Vexor services.

12.2 Any backup services provided by Vexor are offered as a courtesy and are not guaranteed.

12.3 Vexor accepts no liability for the loss, corruption, or unavailability of data regardless of cause.

13. Email and Spam

13.1 Vexor may provide spam filtering, antivirus protection, and email security services; however, no filtering system is guaranteed to be fully effective.

13.2 Vexor shall not be liable for delayed, blocked, filtered, lost, or undelivered email messages.

13.3 Clients remain responsible for the configuration and management of their email clients and devices.

13.4 Vexor reserves the right to inspect, filter, quarantine, or reject email traffic where necessary to enforce anti-spam, security, or legal compliance requirements.

14. Retention of Rights

14.1 Ownership of all client content remains with the client, subject to applicable laws.

14.2 All servers, infrastructure, software licenses, systems, networks, and related intellectual property used to provide services remain the sole property of Vexor or its licensors.

14.3 Nothing in these Terms and Conditions shall be construed as transferring ownership of Vexor’s infrastructure, systems, software, or intellectual property to the client.
